Membership Agreement

By clicking to accept this Membership Agreement ("Agreement") you (the “Member”) and the Center for Business Coaching, LLC, a Virginia limited liability company ("CFBC") hereby agree as follows:

  1. Membership Structure and Fees

    • The Member hereby enrolls in a monthly membership with the CFBC (the “Membership”) for a monthly fee of $25 per month, on the terms applicable thereto separately agreed to by the parties which are hereby incorporated by reference (the "Membership Fee").  The Membership Fee is subject to change, and all such changes shall be communicated to the Member, with not less than thirty days’ notice. 

    • Member hereby authorizes CFBC to charge the credit card provided by Member for the Membership Fee on a recurring basis. Member agrees to provide valid credit card information and authorizes CFBC to maintain this information on file for the purpose of processing monthly payments. Member certifies that they are an authorized user of the credit card and will not dispute payments so long as they correspond to the terms outlined in this Agreement. In the event of a failed payment, such as due to insufficient funds or an expired card, CFBC will notify Member and may attempt to reprocess the payment. Member may cancel this authorization by providing written notice to CFBC at least 10 days before the next billing date; however, termination of this authorization does not relieve Member of any outstanding payment obligations under this Agreement. 

    • Pursuant to the Membership, the CFBC agrees to provide the Member access to the CFBC's membership meetings, tools, resources, and intellectual property ("IP") as further described in this Agreement.

    • The Membership Fee is subject to change upon not less than 20 days’ written notice to the Member.

    • Membership is month-to-month and will automatically renew unless terminated by either party in accordance with the terms of this Agreement.

    • Member agrees to comply with any and all reasonable written terms and conditions that may be provided by CFBC in writing from time to time, including the terms and conditions posted on CFBC’s website.

  2. Membership Access. During the term of the Membership, the Member shall have access to various resources, including but not limited to the following: monthly skill builder workshops and any associated materials, monthly “coffee with a coach”, and certain networking events (the “Membership Resources”).

  3. Membership Termination

    • Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party at least 15 days in advance of the desired termination date.

    • In addition, CFBC may terminate this Agreement immediately if (a) the Member breaches any provision of this Agreement; or (ii) engages in any conduct detrimental to CFBC (in CFBC’s sole but reasonable discretion), including but not limited to: any action that may harm the reputation, operations, or financial interests of the CFBC, or failure to comply with applicable laws or regulations in connection with membership benefits or activities.

    • This Agreement shall automatically terminate without further notice if CFBC becomes the subject of a petition for bankruptcy, is adjudicated bankrupt, makes an assignment for the benefit of creditors or is otherwise unable to pay its debts as they come due; or ceases operations or otherwise suspends or discontinues its business activities, whether temporarily or permanently, for any reason.

  4. Intellectual Property.

    •  The Member acknowledges that the Membership Resources, together with any other materials, resources, content, and tools made available to Member by CFBC pursuant to this Membership, as well as CFBC’s name, logo and any other intellectual property of CFBC (the "CFBC IP") are the sole and exclusive property of CFBC.  CFBC expressly retains all rights therein except to the extent explicitly set forth in this Agreement.  

    • During the term of this Agreement, the Member is granted a limited, revocable, non-transferable, non-exclusive license to use the CFBC IP solely to access and view the CFBC for personal and non-commercial purposes. 

    • Without limiting the foregoing, the Member may not, without the express written consent of CFBC: (a) reproduce, distribute, modify, or create derivative works of any CFBC IP; (b) share, publish, or otherwise disclose any CFBC IP to any third party; (c) sell, sublicense, or otherwise exploit any CFBC IP for any commercial purpose.  For the avoidance of doubt, this Membership Agreement is specific to the individual Member, and this section 4 prohibits the sharing of any CFBC materials or other CFBC IP with any employees, co-workers, teammates or team members of the Member, or any other third party, without CFBC’s explicit written permission. 

  5. Confidentiality. The Member agrees to keep all CFBC IP and any other confidential or proprietary information disclosed by the CFBC ("Confidential Information") in strict confidence and not disclose such information to any third party, including other members, without the prior written consent of the CFBC.  Confidential Information need not be marked confidential, and shall include any information that a reasonable person would deem confidential. The obligations of confidentiality shall continue throughout the term of this Agreement and shall continue for a period of two years followings its termination; provided, however, that the obligation of confidentiality shall continue in perpetuity with respect to trade secrets of CFBC.

  6. No Warranties and No Guarantees

    • CFBC provides the Membership Resources on an "as-is" basis, with no warranties or representations of any kind, either express or implied. CFBC specifically disclaims any warranty of merchantability, fitness for a particular purpose, or non-infringement of intellectual property rights.

    • CFBC does not guarantee or promise any specific results from the use of the Membership Resources, including attendance at membership meetings. The Member understands that the outcomes from using the Membership Resources and participating in the Membership may vary and are influenced by many factors, including the Member’s individual efforts and external circumstances.

  7. Limitation of Liability 

    • CFBC shall not be liable to the Member for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement. CFBC is not responsible for any damages, losses, or consequences arising from the Member’s use or reliance on the Membership Resources.

    • CFBC’s total liability to the Member for any claims arising under this Agreement shall not exceed the total amount paid by the Member in the 12-month period preceding the claim.

  8. General Provisions

    • Survival. Provisions of this Agreement which, by their nature, are intended to survive, including but not limited to Sections 4, 5, 6, 7 and this Section 8, shall survive the termination of this Agreement.

    • Governing Law; Jurisdiction and Venue; Waiver of Jury Trial. This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. As to any suit or action arising under or related to this Agreement, the Member and CFBC each irrevocably and unconditionally consent to submit to the exclusive jurisdiction and venue therein of the Circuit or District Courts of Henrico County, Virginia and of the United States of America located in the Eastern District of Virginia, Richmond Division. The Parties submit to personal jurisdiction in such court and waive any argument that personal jurisdiction or venue in any such court is improper, inappropriate or inconvenient.  Subject to applicable law, the parties knowingly and voluntarily waive their right to have a jury hear or decide all or any part of any such suit or action.

    • Entire Agreement. This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements or understandings, whether written or oral, related to such subject matter.

    • Any amendment or modification of this Agreement must be in writing and signed by both parties.
